The Internal Revenue Service has redesigned Form 990 (“Return of Organization Exempt From Income Tax”)—filed by tax-exempt, section 501(c) (3) organizations—to reflect significant changes that have taken place in the tax-exempt sector over the last 30 years. Notable new requirements include increased transparency through revised reporting of compensation to directors, officers, trustees, key employees, and independent contractors; reporting with respect to governance and management policies; more detailed financial disclosures; and major changes to the “public support test.”
The new form is mandatory for reporting in 2009. Organizations and their preparers need to understand fully how the changes affect their record-keeping and reporting processes, and should assess whether their internal systems need to be modified to reflect the new reporting requirements.
