CERTIFICATE IN ETHICS AND CORPORATE GOVERNANCE

In a business climate sensitized by recent corporate scandal, this pertinent program is designed to give students in-depth knowledge of business ethics and corporate governance. Topics of study include legal and ethical responsibilities of corporate directors and officers, executives, managers, and employees at all levels, as well as legislative responses, such as the Sarbanes-Oxley Act of 2002.

Upon completion of the program, students are able to:

• Understand key legal and regulatory obligations imposed on corporations, including insider-trading issues and disclosure and certification requirements.
• Analyze legal and accounting issues involved in structuring compensation plans.
• Interpret company financial statements from a corporate governance perspective.
• Review issues involved in addressing litigation risks in corporate governance and regulatory contexts.

This certificate is awarded to students who successfully complete six courses--three required and three electives.
