This course provides a framework of legal and procedural strategies for directors to ensure that governance decisions are informed and in a company's best interests. Learn what to avoid and what to do in the event of litigation. Topics include conflicts of interest; disclosure requirements; regulated companies; ethics and penalties; litigation risk; structuring of transactions, including off-balance-sheet derivative products; and insurance and certification requirements for CEOs and CFOs.
