Examine the rise of shareholders' rights and the role they play in the modern corporation. The course covers roles and functions of the principal participants in the proxy voting process: boards of directors, proxy advisors and solicitors, the SEC and stock exchanges, corporate legal teams, and the media and major investor lobbying groups. Topics include specific rules regarding Notice and Access laws, electronic versus paper voting, shareholder representation and rights, filing and reporting requirements, and shareholder communications processes. The most commonly filed shareholder proposals and emerging "hot button" issues are also examined.
